Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") are a legal agreement between you and Curly Tale Games LLC, doing business as Rinth Labs ("Rinth Labs," "we," "us," or "our"), an Ohio limited liability company. By installing, purchasing, or using Nabist, you agree to these Terms. If you do not agree, do not install or use the software. These Terms apply together with the End User License Agreement ("EULA") presented during installation; in the event of a conflict between the two, these Terms control.

2. License Grant

Upon purchase, Rinth Labs grants you a perpetual, non-exclusive, non-transferable license to use Nabist on up to 2 machines per standard license, for both personal and commercial purposes. License holders receive all future updates to the current major version at no additional charge; major version upgrades may be offered at a separate price. In the event Rinth Labs ceases operations, your perpetual license survives for the version of the software then in use, on an as-is basis with no further support or update obligations.

3. License Restrictions

You may not reverse engineer, decompile, redistribute, sublicense, or share your license key with unauthorized parties.

4. Prohibited Uses

You agree not to use Nabist to:

  • Capture, record, annotate, or share any content that is illegal under applicable local, state, federal, or international law, including but not limited to child sexual abuse material (CSAM) or non-consensual intimate imagery (NCII).
  • Capture or record another person without their knowledge or consent where such consent is required by law.
  • Capture, copy, or reproduce DRM-protected or copy-protected content, including but not limited to streaming video, movies, music, or software, in violation of copyright law or applicable license agreements.
  • Infringe upon the intellectual property, privacy, or publicity rights of any person or organization.
  • Harass, stalk, threaten, or harm any individual.

Rinth Labs does not host, store, transmit, or have any access to content you capture or share using Nabist. You are solely responsible for all content you create and any consequences of its capture, storage, or distribution.

5. Screen Recording Consent

Recording audio or video of other people may be subject to consent requirements under applicable law. Many jurisdictions — including certain U.S. states — require the consent of all parties before a conversation or activity may be recorded. You are solely responsible for understanding and complying with all applicable recording consent laws in your jurisdiction. Rinth Labs assumes no liability for your failure to obtain required consents.

6. Third-Party Storage & Sharing

Nabist includes optional integrations that allow you to upload captured content to third-party services such as FTP servers, Amazon S3 buckets, or Imgur. Rinth Labs does not host, receive, store, or have access to any content uploaded through these integrations. You are solely responsible for your use of those third-party services and for compliance with their respective terms of service. Rinth Labs is not liable for any content you upload to third-party platforms.

7. User Responsibility & Indemnification

You are solely responsible for all content you capture, annotate, store, or share using Nabist, and for ensuring your use of the software complies with all applicable laws and regulations. You agree to indemnify, defend, and hold harmless Rinth Labs and its officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of Nabist, your violation of these Terms, or your violation of any rights of a third party.

8. Export Controls

You agree to comply with all applicable U.S. and international export control laws, trade sanctions, and regulations in connection with your use, download, or distribution of Nabist. You represent that you are not located in, or a national or resident of, any country subject to U.S. trade sanctions or embargo.

9. Free Trial

The 14-day free trial provides full access to all features. After the trial period, a paid license is required for continued use.

10. Payments & Refunds

All payments are processed by Stripe. We offer a no-questions-asked 30-day money-back guarantee from the date of purchase. To request a refund, contact support@nabist.com with your order details. Refunds are issued to the original payment method only and do not apply to purchases made more than 30 days prior.

11. Disclaimer of Warranties

Nabist is provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. Rinth Labs does not warrant that the software will be error-free, uninterrupted, or free of harmful components. License activation and verification require periodic internet connectivity; Rinth Labs is not liable for temporary inability to activate the software due to scheduled maintenance, service disruptions, or circumstances beyond our control.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Rinth Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of or inability to use Nabist, regardless of the cause of action or theory of liability, even if Rinth Labs has been advised of the possibility of such damages.

In all cases, Rinth Labs' total cumulative liability to you for any and all claims arising out of or related to these Terms or your use of Nabist shall not exceed the total fees paid by you to Rinth Labs for your license in the twelve (12) months preceding the claim.

13. Updates & Changes to These Terms

We may update these Terms at any time. We will provide at least 30 days' notice of material changes by posting an updated version at nabist.com/terms and, where reasonably practicable, by email to your registered address. Your continued use of Nabist after the notice period constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the software before the notice period expires.

14. Dispute Resolution & Arbitration

Please read this section carefully. It affects your legal rights.

Informal Resolution First: Before initiating arbitration or any legal proceeding, the claiming party must send written notice to the other party describing the nature of the dispute and the relief sought. The parties agree to attempt to resolve the dispute informally for sixty (60) days following receipt of such notice before proceeding to arbitration.

If the dispute is not resolved informally within that period, you and Rinth Labs agree that any remaining dispute, claim, or controversy arising out of or relating to these Terms or your use of Nabist — including disputes about the validity or enforceability of this arbitration agreement — will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration costs and fees shall be allocated per the AAA Consumer Arbitration Rules.

Class Action Waiver: You and Rinth Labs each waive the right to participate in a class action, class arbitration, consolidated arbitration, or representative action. All disputes must be brought in your individual capacity only.

Small Claims Exception: Either party may bring an individual claim in small claims court in Cuyahoga County, Ohio, provided the claim qualifies under that court's jurisdictional limits and is brought in your individual capacity.

Opt-Out: You may opt out of this arbitration agreement within 30 days of first using Nabist by sending written notice to legal@nabist.com with the subject line "Arbitration Opt-Out." If you opt out, disputes will be resolved exclusively in the courts of Cuyahoga County, Ohio.

Arbitration will be conducted remotely or in Cleveland, Ohio.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to its conflict of law provisions. Subject to the arbitration agreement above, any disputes not subject to arbitration shall be subject to the exclusive jurisdiction of the courts located in Cuyahoga County, Ohio.

16. Severability

If any provision of these Terms is found by a court or arbitrator to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions of these Terms shall continue in full force and effect.
